These Terms and Conditions (hereinafter referred to as the “Agreement”) govern the relationship between you, the Client (hereinafter referred to as “Client” or “You”), and trustyourlawyer.com, its attorneys, and agents (hereinafter referred to as “We”, “Us”, “Our”, or “The Firm”) in relation to the provision of legal services. By engaging our services, you agree to be bound by the terms set forth below.

1. Engagement of Legal Services

By engaging our firm for legal services, the Client acknowledges and agrees that a binding agreement has been formed between the Firm and the Client. The engagement is subject to these Terms and Conditions, which supersede any prior understanding or agreement.

2. Lawyer Fees

2.1 Advance Payment

The Client agrees to pay the Lawyer Fees in full in advance, prior to the commencement of any legal services, unless otherwise agreed in writing by both parties.

2.2 Non-refundable Fees

The Client understands and agrees that all payments made for Lawyer Fees are non-refundable under any circumstances, whether or not the legal services are completed, or the outcome of the case is favorable or unfavorable. No refunds will be provided for any portion of the Lawyer Fees.

2.3 Payment Due on ‘No Objection’ or ‘Change’ Requests

If the Client requests a ‘No Objection’ certificate or a change in the scope of work once the assignment has commenced, the Client must pay the full Lawyer Fees as per the revised or additional scope before the Firm proceeds with any further action.

3. Payment Terms

3.1 Invoice and Payment Deadline

Upon the generation of an invoice for our services or the services of any external counsel engaged by us, the Client agrees to pay the full amount due within 7 days from the date the invoice is issued.

3.2 Failure to Pay

If payment is not received within the specified 7-day period, the Firm reserves the right to cease providing legal services, withhold any case documents or progress, and take any further action as necessary to recover the outstanding fees, including but not limited to legal action. The Client acknowledges that such failure may also result in delays or cessation of the case.

4. Counsel and Other Expenses

4.1 Counsel Fees

In addition to the Firm’s Lawyer Fees, the Client acknowledges and agrees to pay all fees and charges for any external legal counsel engaged by the Firm, as outlined in the invoice. Counsel Fees are due and payable under the same terms as the Firm’s Lawyer Fees.

4.2 Court and Other Expenses

The Client is also responsible for all court fees, filing fees, administrative costs, or any other related expenses that may arise during the course of the legal proceedings. These expenses will be invoiced separately and must be paid in full by the Client as they become due.

5. Fees Structure

5.1 Request for Fees Structure

The Client may request to be provided with a detailed fee structure for a particular case or assignment before engaging the Firm’s services. We will provide a breakdown of the estimated costs based on the scope of work, subject to any changes during the course of the assignment.

5.2 Obligation to Adhere to Fees Structure

Once the Client confirms the engagement and work commences, the Client is bound by the Firm’s fees structure and is obligated to make payments in accordance with the agreed-upon fees, even if the scope of work or duration of the case changes.

6. No Installment Payments

The Client agrees that Lawyer Fees, Counsel Fees, and all other related expenses will be paid in full, without the option for installment payments, unless otherwise mutually agreed in writing.

7. Return of Documents

7.1 Retention of Case Documents

The Client agrees that case documents, files, or any other materials relating to the case will remain in the Firm’s possession until all outstanding fees, including the Firm’s Lawyer Fees and Counsel Fees, are paid in full as per law prevalent in India.

7.2 No Obligation to Return Documents Without Payment

The Firm is not obligated to return any documents or case-related materials to the Client unless and until all fees and expenses, as outlined in the invoice, have been fully paidas per law prevalent in India.

8. Termination of Services

8.1 Client’s Right to Terminate

The Client may terminate this Agreement at any time by providing written notice to the Firm. However, any fees already paid will not be refunded, and the Client will remain responsible for all fees and expenses incurred up to the date of termination.

8.2 Firm’s Right to Terminate

The Firm may terminate this Agreement at any time if the Client fails to make timely payment of fees or if the Firm determines that continuing to represent the Client is no longer in the best interests of the Firm or the Client. In such cases, the Client will remain liable for all fees incurred up to the date of termination.

9. General Terms

9.1 No Guarantee of Outcome

The Client acknowledges that the Firm does not and cannot guarantee the outcome of any legal proceedings or assignments. All legal services are provided with the best efforts and professional expertise, but results may vary.

9.2 Confidentiality

The Firm will maintain strict confidentiality regarding all information and documents shared by the Client, in accordance with the rules of professional conduct and the applicable laws.

9.3 Jurisdiction and Governing Law

This Agreement shall be governed by and construed in accordance with the laws of India. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts in Kolkata, West Bengal, India.

9.4 Amendments to Terms

The Firm reserves the right to amend or modify these Terms and Conditions at any time, and the Client will be notified of any such changes. Continued engagement with the Firm after such changes shall be deemed acceptance of the modified Terms and Conditions.
